By participating in the Inclusiv Member Hub, you agree to the following Legal Disclaimers and Terms of Service. Inclusiv reserves the right, in our sole discretion, to change or modify portions of these Legal Disclaimers and Terms of Service at any time. If we do so, we will post the changes on this page, but it is your responsibility as the user, individually and on behalf of your credit union, to review and understand all iterations thereof, to which you will be bound as a user of the Member Hub. General  

Inclusiv makes no warranty, express, or implied, nor assumes any legal liability or responsibility for the accuracy, correctness, or completeness of any information that is available through the Member Hub, which are intended for educational and discussion purposes and do not constitute legal advice, technical assistance, or financial guidance, nor replace independent professional judgment.  Furthermore, the views expressed by participants on the Member Hub do not necessarily reflect the views of Inclusiv or the participants’ credit unions.

By participating in the Member Hub, you acknowledge your responsibilities as set forth in the Guidelines and under these Legal Disclaimers and Terms of Service.  You further agree, individually and on behalf of your credit union, to hold harmless Inclusiv, its employees and its agents, from any liability resulting from breach of these expectations, including but not limited to unauthorized disclosures by participants on the Member Hub and/or interactions or engagements with other Member Hub participants, including Inclusiv moderators. 

No Electoral or Partisan Political Activity 

Member Hub participants may not use the hub for any electoral partisan political activity under any circumstances. In any discussion of current events or policy, please comment on the topic rather than the policymaker or your views on them as an elected official. As a strictly non-partisan organization, Inclusiv will remove posts that violate this requirement.  

Lobbying 

Please keep all advocacy conversations in dedicated Advocacy Forums and follow the specific rules and guidelines of those Forums. In addition, although Member Hub participants are welcome to discuss new advocacy issue areas and strategy ideas, participants may not use the Member Hub to organize or carry out lobbying campaigns, other than campaigns that have been approved and are being managed by Inclusiv staff. This restriction applies at the federal, state, and local level, and to both regulatory/agency and legislative advocacy.  

Confidential Information  

Member Hub participants may not, under any circumstances, share any members' or credit unions’ personally identifiable information in this forum in a way that would threaten members' or credit unions’ confidentiality. Similarly, participants may not share any sensitive or proprietary information from their credit unions that is not otherwise publicly available. Inclusiv takes no responsibility for such unauthorized disclosures nor any potential resulting harms.  


TERMS OF SERVICE 

General 

Inclusiv’s Member Hub is a web application built for Inclusiv with external vendors, designed to support Inclusiv member credit unions in accessing Inclusiv’s member support programs and in connecting with staff at other Inclusiv member credit unions.  You as the user confirm that you are solely responsible for the security of your login credentials and that you have and will continue to secure your credentials (including password(s)) so that they remain confidential and protected.  

Confidential Information  

Confidential  Information, the posting of which is prohibited under the Guidelines and these Legal Disclaimers and Terms of Service, includes records, trade secrets, knowledge, data or other proprietary or confidential information relating to products, specific credit union members, processes, know-how, designs, developmental or experimental work, computer programs, computer artwork, databases, other original works or authorship, customer lists, business plans, marketing plans and strategies, transaction identifications, financial information or other subject matter pertaining to any business the credit union or any of the credit union's members, consultants or licensees, whether- communicated in writing or orally, and is marked as "confidential" or "proprietary" or "secret" at the time of disclosure, or is unmarked (including orally disclosed information), but is treated as confidential at the time of disclosure.   

Confidential Information (unless otherwise required by the Gramm-Leach-Bliley Act (“GLBA”)) does not include information that (a) is generally known or available by publication, commercial use or otherwise through no fault of Inclusiv, (b) is known by Inclusiv at the time of disclosure and is not subject to restriction, (c) is lawfully obtained from a third party who has the right to make such disclosure, or (d) is released for publication by the credit union in writing.  

Permitted Uses 

You acknowledge and agree that Inclusiv may use and/or share general findings, trends, summaries and conclusions based on the  information shared on the Member Hub, in an aggregated and anonymized manner that does not identify any specific individual Member Information in furtherance of Inclusiv’s mission (collectively, “Permitted Uses”).  Permitted Uses may include, but are not limited to, creating publications that showcase the impact that credit union affiliated with Inclusiv are making in their communities along with insights on credit union lending as well as developing applications for grant funding that will support programs and services that benefit Inclusiv, our member credit unions, and the wider credit union industry. 

Termination 

You may not, under any circumstances, (a) upload false or manipulated data; (b) interfere with the operation or security of the platform; (c) attempt to reverse engineer, copy, or replicate the platform, data models, or templates within; (d) engage in purposes outside its intended use, including activities in violation of applicable laws, regulations, or program requirements. 

Inclusiv may suspend or terminate your access to Inclusiv Member Hub(s), in our sole discretion, including but not limited to cases where: (a) you fail to comply with the Guidelines or these Legal Disclaimers and Terms of Service; (b) your credit union is no longer an Inclusiv member in good standing; (c) Your continued access poses a data security or integrity risk;  (d) it is so required by law or program regulations; and/or (e) applicable fees are not timely paid (if and when fees apply). 

Miscellaneous  

Inclusiv takes no responsibility for any modifications user’s credit union make to its core  processor or other systems based on information contained, provided, or discussed in the Member Hub, and we strongly recommend that any credit union contact its core provider or other systems vendor(s), or a qualified and certified third party, before considering or making any modifications to the credit union’s system(s). 

THESE LEGAL DISCLAIMERS AND TERMS OF SERVICE AND THE RIGHTS AND OBLIGATIONS OF THE PARTIES HERETO SHALL BE GOVERNED BY, AND SHALL BE CONSTRUED AND ENFORCED IN ACCORDANCE WITH THE LAWS OF THE STATE OF NEW YORK.  Inclusiv and you, individually and on behalf of the credit union, hereby waive, to the fullest extent permitted by applicable law, any right to trial by jury with respect to any action or proceeding arising out of or relating to these Legal Disclaimers and Terms of Service.

If any provision herein is held to be illegal, invalid, or unenforceable under any present or future law, such provision shall be fully severable and all other provisions shall be construed and enforced as if such illegal, invalid, or unenforceable provision had never comprised a part of these Legal Disclaimers and Terms of Service.
